Bogota, Colombia \u2013<\/strong> GeoPark Limited (\u201cGeoPark\u201d or the \u201cCompany\u201d) (NYSE: GPRK), an exempted company incorporated under the laws of Bermuda announced today the early tender results of its previously announced (i) tender offer to purchase for cash (the \u201cTender Offer\u201d) up to US$255,000,000 aggregate principal amount outstanding (the \u201cMaximum Tender Amount\u201d) of its 6.500% Senior Notes due 2024 (the \u201cNotes\u201d) (CUSIP Nos. 37255B AA7 \/ G38327 AA3 and ISIN Nos. US37255BAA70 \/ USG38327AA30) and (ii) solicitation of consents (the \u201cConsent Solicitation\u201d) for proposed amendments (the \u201cProposed Amendments\u201d) to the related indenture (the \u201cIndenture\u201d) under which the Notes were issued. The Tender Offer and the Consent Solicitation are being made on the terms and subject to the conditions set forth in the Offer to Purchase and Consent Solicitation Statement dated April 6, 2021 (as amended, the \u201cStatement\u201d), and related consent and letter of transmittal (the \u201cLetter of Transmittal\u201d and, together with the Statement, the \u201cOffer Documents\u201d). Capitalized terms used herein and not otherwise defined herein shall have the meanings ascribed to them in the Statement.<\/p>\n

According to information received from D.F. King & Co., Inc., the information agent (the \u201cInformation Agent\u201d) for the Tender Offer and the Consent Solicitation, as of 5:00 p.m., New York City time, on April 19, 2021 (the \u201cEarly Tender Deadline\u201d), the Company received Notes validly tendered and Consents representing an aggregate principal amount equal to US$334,233,000 (or 78.64% of the aggregate principal amount outstanding of Notes as of the date of this press release) and therefore has obtained the requisite consents necessary to give effect to the Proposed Amendments. Consequently, the Company expects to execute the second supplemental indenture to the Indenture (the \u201cSecond Supplemental Indenture\u201d) effecting the Proposed Amendments on April 20, 2021, or promptly thereafter. The Second Supplemental Indenture will become effective upon its execution and delivery by the Company and the Trustee but will provide that the Proposed Amendments will not become operative until GeoPark has paid the Consent Payment in full.<\/p>\n
